TERMS and CONDITIONS

AS I AUTHORIZED DISTRIBUTOR OF ZAP IT ("The Company"), WE UNDERSTAND AND AGREE THAT:

1. I/We am/are acting in my/our behalf as an individual and that I/We am/are 18 years of age or older.
2. This application shall constitute a binding agreement between myself/ourselves and ZAP IT at such time as this application is received and approved by the Company.
3. I/We as ZAP IT Distributor agreed to operate my/our own business in accordance with company policies and procedures. I/We understand that misrepresentation or violation of the company policies and procedures can result to the termination of my/our distributorship.
4. I/We am/are Independent Contractor in the business of selling consumer products. I/We am/are not an employee or legal representative of my/our sponsor of ZAP IT for any purpose. I/We will be responsible for compliance with Republic of the Philippines local statutes and regulations, including but not limited to those relating to licensing and taxation. I/We recognize that my/our renumeration is based on my/our performance of a supervisory, distributive, selling or soliciting function in the sale or delivery of products and not on the number of hours worked or an element of chance.
5. I/We acknowledge that ZAP IT may after reasonable notice change, amend or modify this agreement and its policies, procedures and marketing plan to maintain a viable marketing system, comply with legal requirements and changes in economic condition and I/We shall operate my/our business in accordance with any such changes, amendments or modification.
6. I/We agree to properly represent the company products and its marketing plan. All forms of advertising, including but not limited to audio, visual tapes and printed materials must be submitted and approved in writing by an authorized company representative prior to use.
7. I/ We may cancel the agreement at any time effective upon mailing written notice to ZAP IT If I/we elect to cancel, all products which I/we purchased from the company and which are in my/our possession shall not be returned, refunded or exchange, unless otherwise ZAP IT repurchased them in accordance with the company policies & procedures.
8. I/We understand the ZAP IT reserves the right to cancel my/our distributorship at any time if we violates the terms and conditions of this agreement or the provision of the Policies and Procedures & Compensation Plan.
9. As long as I/we are distributor and not in violation of this Agreement, ZAP IT Marketing Plan.
10. Unless otherwise specially required, this agreement shall be governed by the laws of the Republic of the Philippines.
